These Terms of Use (“Terms”) apply to your access to and use of GigsHarbor (the “Platform”), including the services and features available through it.

1. Definitions
For the purposes of these Terms:
- “Account” means a User account created on the Platform.
- “Client” means a User who creates or funds a Project and engages a Freelancer to perform services.
- “Freelancer” means a User who offers and performs professional services through the Platform.
- “User” means any Client or Freelancer using the Platform.
- “Project” means a work engagement created through the Platform between a Client and a Freelancer.
- “Wallet balance” means funds available to a Client for allocation to Projects.
- “Project funds” means funds allocated by a Client to a specific Project.
- “Earnings balance” means funds released to a Freelancer following completion of a Project.
2. Acceptance of Terms
By creating an Account or using the Platform, you confirm that you have read, understood, and agree to these Terms, the Privacy Policy, and the Refund Policy.
If you do not agree with these Terms, you must not use the Platform.
3. Platform Description
The Platform is an online freelance marketplace that connects Clients seeking professional services with Freelancers providing those services.
The Platform provides tools for creating and managing Projects, finding Clients and Freelancers, communication, portfolio presentation, payments, withdrawals, and dispute resolution.
The Company operates the Platform as an intermediary between Clients and Freelancers. The agreement relating to the performance of a Project is made directly between the Client and the Freelancer.
Freelancers act as independent professionals and are responsible for the services they provide, the quality and delivery of their work, and their own legal and tax obligations.
Clients are responsible for providing accurate Project requirements, selecting Freelancers, and reviewing submitted work.
The Company does not employ Freelancers and does not guarantee the availability, completion, quality, timing, or outcome of any Project.
4. Eligibility, Accounts and Verification
Users must be at least 18 years old and legally capable of entering into binding agreements.
Users must provide their real First Name and Last Name when creating an Account and are responsible for ensuring that all Account information is accurate and current.
Where identity verification is required, Account information may be compared with identification documents or other information provided by the User.
Freelancers must complete the Platform’s verification process before they can work on Projects. Every Freelancer is manually reviewed before approval, which may include verification of identity and review of their profile, portfolio, professional background, and relevant experience.
Each Account is personal and may not be transferred, shared, sold, or assigned to another person.
Users are responsible for keeping their login details secure and for activity carried out through their Account.
The Platform may request additional information or temporarily restrict certain Account features where reasonably necessary to verify information, resolve an issue, or protect the Platform and its Users.
5. Projects and Project Workflow
Clients may create and publish Projects describing the professional services they require. Project information may include the scope of work, expected timeframe, price or budget, and supporting materials.
The Client is responsible for ensuring that Project information is accurate, lawful, and sufficiently clear.
5.1. Project Assignment
- The Client creates and publishes a Project.
- Freelancers may contact the Client to discuss the Project.
- The Client selects a Freelancer.
- The Client and Freelancer agree on the scope of work, price, and expected completion timeframe.
- The Client allocates the agreed amount to the Project.
- The Project is assigned to the selected Freelancer.
- The Freelancer completes and submits the agreed work.
- The Client approves the work, requests a revision, or raises a dispute.
- Once the work is approved or a dispute is resolved, the Project funds are released or returned as applicable.
A Client may create and publish a Project regardless of their current Wallet balance. However, sufficient funds must be available before the Project can be confirmed with the selected Freelancer.
5.2. Review and Revisions
After the Freelancer submits the work, the Client may approve it, request a revision, or raise a dispute.
Revision requests must relate to the originally agreed Project scope. Materially different or additional work must be separately agreed between the Client and Freelancer.
The Client should review submitted work within 7 days. If no action is taken during this period, the Project will be referred to the Platform support team for review, and the Project funds will remain held until the review is completed.
5.3. Project Cancellation
Either the Client or the Freelancer may request cancellation of an active Project.
If both parties agree to cancel the Project, the Project will be closed and the related Project funds will be returned to the Client’s Wallet balance.
If the parties cannot agree on the cancellation or how the Project funds should be handled, the Platform support team will review the matter in accordance with Section 9.
6. Wallet, Payments and Project Funds
Clients may add funds to their Wallet balance and use those funds to pay for Projects.
Funds allocated to a Project are deducted from the Client’s Wallet balance and become Project funds until they are released, returned, or otherwise handled in accordance with these Terms.
Freelancers receive released Project funds in their Earnings balance after deduction of the applicable Platform fee.
Adding funds to a Wallet balance does not automatically create or pay for a Project.
6.1. Payment Processing
Payments, Project funds, returns, and withdrawals are processed through third-party payment service providers.
The Platform manages the relevant Project status and payment instructions, while the actual movement and holding of funds is handled through the applicable payment service provider.
The Company does not store full payment card details or card security codes on its own systems.
6.2. Project Funds
Project funds remain separate from the Client’s Wallet balance and are not available to the Freelancer until the applicable release conditions are met.
Project funds may remain held while a Project is active, submitted work is under review, a revision is in progress, a cancellation request is being considered, or a dispute is being resolved.
6.3. Release of Project Funds
Project funds are normally released after the Client approves the submitted work or after a dispute has been resolved.
Once released, the amount payable to the Freelancer, less the Platform service fee, is credited to the Freelancer’s Earnings balance.
Funds relating to an active or unresolved Project are not part of the Freelancer’s Earnings balance and cannot be withdrawn.
7. Platform Fees and Taxes
The Company charges a service fee equal to 1% of the total Project price. The fee is deducted from the funds released to the Freelancer’s Earnings balance.
The Company does not charge separate transaction or withdrawal fees. Banks, payment service providers, or other financial institutions may apply their own fees.
Users are responsible for any taxes applicable to their income, activities, or transactions.
8. Withdrawals and Return of Funds
8.1. Freelancer Withdrawals
A Freelancer may request withdrawal of funds available in their Earnings balance using a payment method supported by the Platform.
Withdrawal requests are typically reviewed and processed within 2–5 business days. Additional time may occasionally be required to verify payment details or review a withdrawal request.
Once a withdrawal has been processed, the Freelancer’s bank or payment service provider may require additional time to complete the transfer.
Freelancers are responsible for providing accurate and current withdrawal information.
8.2. Return of Unused Client Funds
A Client may request the return of funds remaining unused in their Wallet balance, provided that those funds have not been allocated to an active Project.
Funds already allocated to a Project are handled according to the applicable Project cancellation, dispute, and Refund Policy procedures.
Where possible, approved returns will be made to the original payment method.
9. Disputes
Clients and Freelancers should first try to resolve Project-related disagreements through the Platform’s communication tools.
If the parties cannot reach an agreement regarding the scope, quality, completion, revision, cancellation, or delivery of a Project, either party may raise a dispute through the Platform.
The Platform may review the Project requirements, communications between the parties, submitted work, revision requests, delivery history, and other relevant information.
Both parties may be asked to provide additional information where necessary.
Following the review, the Project funds may be released to the Freelancer, returned to the Client’s Wallet balance, divided between the parties where appropriate, or remain held while additional information is required.
The Platform will make its decision based on the available Project information and the circumstances of the dispute.
10. Usage Policy
Users must use the Platform lawfully and responsibly.
Users must not:
- create false Projects, profiles, transactions, or Accounts;
- provide false or misleading information;
- impersonate another person or organisation;
- use unauthorised payment information;
- arrange off-Platform payments for Projects initiated through the Platform;
- circumvent Platform fees, restrictions, or verification requirements;
- manipulate balances, transactions, or Project statuses;
- request, offer, or provide unlawful services;
- harass, threaten, abuse, or unlawfully discriminate against another User;
- upload malware or harmful files;
- infringe intellectual property, privacy, confidentiality, or other third-party rights;
- send spam or deceptive communications;
- collect Platform data without permission;
- interfere with the normal operation or security of the Platform.
The Company may remove content or restrict Accounts that violate these Terms.
11. Account Suspension and Termination
The Company may suspend, restrict, or terminate an Account where a User seriously or repeatedly violates these Terms, provides false information, misuses the Platform, or creates a material risk to the Platform or other Users.
During an Account review or suspension, access to certain Platform features may be temporarily limited.
Suspension or termination does not automatically cancel active Projects or unresolved disputes. Any related funds will continue to be handled in accordance with these Terms.
12. Intellectual Property and User Content
The Platform, including its software, design, branding, text, graphics, databases, and functionality, is owned by or licensed to the Company and is protected by applicable intellectual property laws.
Users retain ownership of content they upload to the Platform and allow the Company to host, display, process, and transmit that content as necessary to operate the Platform.
Freelancers retain ownership of materials, tools, templates, methods, software, and other intellectual property created or owned before the relevant Project (“Pre-existing Materials”).
The Client and Freelancer may separately agree on intellectual property terms for a Project.
Unless otherwise agreed, ownership of deliverables created specifically for a Project transfers to the Client once the Project has been completed and the full Project amount payable to the Freelancer has been released.
Pre-existing Materials remain the property of the Freelancer. Where such materials form part of the final deliverables, the Client receives the right to use them as reasonably necessary to use the completed Project.
Users must not upload or deliver content that infringes another person’s rights.
13. Confidentiality
Users may receive confidential or non-public information while working on a Project.
Such information must be used only for the relevant Project and must not be disclosed to another person without permission, unless disclosure is required by law.
This obligation does not apply to information that is already publicly available through no breach of these Terms.
14. Limitation of Liability
To the maximum extent permitted by applicable law, the Company is not liable for indirect or consequential losses arising from use of the Platform.
The Company is not responsible for the acts, omissions, delays, representations, or quality of work of Clients, Freelancers, payment service providers, banks, or other third parties.
The Platform is provided on an “as available” basis. The Company does not guarantee uninterrupted operation, successful Project completion, Freelancer performance, Client conduct, or any particular result.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
15. Changes to These Terms
The Company may update these Terms from time to time to reflect changes to the Platform, its services, or applicable requirements.
By continuing to use the Platform, Users agree to the current version of these Terms and are responsible for reviewing them periodically to stay informed of any updates.
16. Governing Law
These Terms are governed by the laws of (Company_Jurisdiction).
Nothing in these Terms excludes or limits any rights or protections that cannot lawfully be waived.
